IMPORTANT NOTICE
BY DOWNLOADING, INSTALLING, OR USING THE SOFTWARE (DEFINED BELOW), YOU AGREE TO COMPLY WITH THE TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT DOWNLOAD, INSTALL, OR USE THE SOFTWARE, AND IMMEDIATELY UNINSTALL IT IF ALREADY INSTALLED. This End User License Agreement (the “Agreement”) IS A BINDING LEGAL CONTRACT BETWEEN YOU (THE USER) AND MARTALIA LLC (THE OWNER OF ALL RIGHTS TO THE SOFTWARE). PLEASE READ THIS DOCUMENT CAREFULLY BEFORE INSTALLING OR USING THE SOFTWARE. BY USING THE SOFTWARE, YOU INDICATE YOUR ACCEPTANCE OF THESE TERMS AND AGREE TO BE LEGALLY BOUND BY THEM. VISUAL VPN IS SOFTWARE OWNED BY MARTALIA LLC.
LICENSE TYPES
- Free License: Visual VPN grants you a non-exclusive, non-transferable, revocable, limited, and perpetual license to download, install, and use the Software for personal, non-commercial use, subject to the terms of this Agreement.
- Paid License: Upon payment of the required fees and adherence to the terms and conditions of this Agreement, Visual VPN grants you a non-exclusive, non-transferable, revocable, limited, and perpetual license to download, install, and use the Software in accordance with this Agreement.
- Unauthorized Use: You agree to take reasonable measures to prevent unauthorized use or distribution of the Software. This includes using the same level of care to protect the Software as you would your own confidential information, but not less than a reasonable level of care.
OWNERSHIP AND INTELLECTUAL PROPERTY RIGHTS
Visual VPN Software is the intellectual property of Martalia LLC, protected by copyright laws, international treaties, and other relevant laws. The Software's structure, organization, and code are valuable trade secrets and confidential information of Martalia LLC. If you provide any feedback or suggestions about the Software, Martalia LLC has the right to use such feedback in its current or future products or services without any obligation to compensate you. This Agreement does not grant you any rights to the intellectual property contained in the Software. All rights, including copyrights, patents, trade secrets, trademarks, and other intellectual property rights, are reserved by Martalia LLC.
USAGE LIMITATIONS
- Prohibited Uses: You must not use the Services in a way that could harm, disable, overload, or impair our servers, or interfere with other users' access and enjoyment of the Services. Unauthorized access to any part of the Services or information is prohibited. We reserve the right to take any legal, technical, or operational actions to prevent or stop any violations of this Agreement.
- Legal Compliance: You agree to use the Software in compliance with all applicable laws in the jurisdictions where you operate, including laws related to intellectual property and copyright.
LIMITED WARRANTY AND DISCLAIMERS
Visual VPN does not guarantee that the Software will meet your requirements or that its operation will be uninterrupted or error-free. The warranty applies only to failures in standalone operation of the Software and does not cover:
- Alterations or modifications made by you or an unauthorized third party;
- Operation of the Software in violation of this Agreement; or
- Failures caused by other software or hardware products.
EXCEPT AS SPECIFICALLY STATED IN THIS SECTION, TO THE MAXIMUM EXTENT ALLOWED BY LAW, VISUAL VPN IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, TITLE, NON-INFRINGEMENT, AND FITNESS FOR A PARTICULAR PURPOSE.
LIMITATION OF LIABILITY
UNDER NO CIRCUMSTANCES WILL WE OR ANY PARTY INVOLVED IN THE CREATION, PRODUCTION, DISTRIBUTION, PROMOTION, OR MARKETING OF THE SERVICES BE LIABLE TO YOU OR ANY OTHER PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES (INCLUDING LOSS OF DATA OR PROFITS), OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THIS LIMITATION APPLIES TO THE FULLEST EXTENT PERMITTED BY LAW. OUR TOTAL LIABILITY TO YOU AND ANY OTHER PARTY SHALL NOT EXCEED THIRTY DOLLARS ($30.00) FOR ANY AND ALL CLAIMS, DAMAGES, AND OTHER THEORIES OF LIABILITY.
THIRD-PARTY SOFTWARE
If the Software includes third-party programs, these programs are subject to their own license terms, which may include open-source or free software licenses. Nothing in this Agreement overrides or diminishes the end user's rights under such third-party software licenses.
GOVERNING LAW AND JURISDICTION
This Agreement is governed by the laws of Georgia, without regard to its conflict of laws principles. You consent to the jurisdiction of the courts in Georgia for any disputes arising out of or relating to this Agreement.
ENTIRE AGREEMENT
This Agreement represents the complete and exclusive understanding between the parties and supersedes any prior agreements or communications, oral or written, concerning the subject matter hereof. If any provision of this Agreement is found to be unenforceable, it will not affect the enforceability of the remaining provisions.
